* Started trading on Euronext Amsterdam on 15 December 2005 and still remains trading on Euronext. Eurocastle no longer traded on the London Stock Exchange after 21 December 2005 and no longer traded on the Frankfurt Stock Exchange after 3 November 2009.
The Shares are subject to transfer restrictions. The Shares may only be sold, transferred, assigned, pledged, or otherwise disposed of within the United States to transferees that are Qualified Institutional Buyers, in reliance on the exemption from the registration requirements of the US Securities Act of 1933 (the "Securities Act") provided by Rule 144A thereunder, or pursuant to another exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and that are, in each case, also Qualified Purchasers as defined in the US Investment Company Act of 1940, or in Offshore Transactions to transferees that are not U.S. Persons within the meaning of Regulation S under the Securities Act.
